Vicapsys Life Sciences completes reverse merger with Stateline Distributors of Puerto Rico and signs definitive agreement to acquire NitroMist®

The merger closed effective September 3, 2026, and Stateline is now a wholly owned subsidiary. Under the merger agreement executed August 12, 2026, Stateline's shareholders received newly designated Series C Convertible Preferred Stock. The company also signed a definitive agreement to acquire NitroMist®, the FDA-approved nitroglycerin lingual aerosol, with closing to follow FDA acknowledgment of the NDA transfer.
